1. Acceptance of Terms

By accessing or using Brifly ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service. Brifly is currently in beta — features may change, break, or be removed without notice.

2. Description of Service

Brifly is an asynchronous communication platform that allows users to record and share video and voice messages directly within documents. Our Service is designed to help teams communicate more efficiently by replacing unnecessary meetings with brief video updates.

3. User Accounts

To use Brifly, you must:

  • Create an account with accurate and complete information
  • Be at least 18 years old
  • Keep your account credentials secure and confidential
  • Notify us immediately of any unauthorized access to your account

You are responsible for all activities that occur under your account.

4. Acceptable Use

When using Brifly, you agree not to:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Upload or share content that is harmful, offensive, or inappropriate
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Use the Service for spam, phishing, or other malicious activities
  • Interfere with or disrupt the Service or its infrastructure
  • Reverse engineer, decompile, or disassemble any part of the Service

5. Recording Consent

When you use Brifly to record audio, video, or screen content that includes other people, you are solely responsible for obtaining all consents required by applicable law. Many jurisdictions require all parties to a conversation to be informed of and consent to recording. You represent and warrant that you have obtained such consents before any recording is made or shared via Brifly. You agree to indemnify Brifly against any claim arising from a recording you created or shared.

6. User Content

You retain ownership of all content you create and upload to Brifly ("User Content"). By using our Service, you grant us a limited license to store, process, and display your User Content solely for the purpose of providing the Service.

You are solely responsible for your User Content and must ensure you have the necessary rights to share any content you upload.

7. AI-Generated Content

Brifly uses third-party AI services to transcribe audio and video, generate summaries, and provide search. AI output may contain errors, inaccuracies, or fabricated information ("hallucinations"). You should not rely on AI-generated content for any decision with legal, medical, financial, or safety consequences without independent verification. We make no warranty regarding the accuracy or reliability of AI output.

8. Pricing

Brifly is free during beta. Paid plans may be introduced later; we will update these Terms and notify you before that happens.

9. Beta Service

Brifly is provided as a beta service. Features may change, be removed, or fail to work as expected. We do not guarantee data preservation, uptime, or backups during the beta period. You are responsible for keeping your own copies of any User Content that is important to you. We are not liable for any loss, corruption, or unavailability of User Content.

10. Intellectual Property

The Service, including its design, features, and content (excluding User Content), is owned by Brifly and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Service without our explicit permission.

11. Privacy

Your use of Brifly is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, secure, or error-free.

13. Limitation of Liability

To the maximum extent permitted by law, Brifly shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed one hundred US dollars (USD 100) or the amount you paid us in the twelve months preceding the claim, whichever is greater.

Any claim arising out of or related to these Terms or the Service must be brought within one (1) year after the cause of action arose; otherwise it is permanently barred, except where applicable law prohibits such a limitation.

14. Indemnification

You agree to defend, indemnify, and hold harmless Brifly and its operators from any claim, demand, loss, liability, damages, or expense (including reasonable legal fees) arising out of or related to: (a) your User Content; (b) your use of the Service; (c) your violation of these Terms; (d) your violation of any applicable law; or (e) your infringement of any third-party right, including intellectual property, privacy, or recording-consent rights.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including suspected violation of these Terms, abuse of the Service, illegal activity, or risk to other users or the Service. You may also terminate your account at any time through your account settings.

Upon termination, your right to use the Service will immediately cease, and we may delete your User Content without further obligation. We may retain certain data as required by law or for legitimate business purposes. Sections that by their nature should survive termination — including User Content licenses already granted, indemnification, disclaimers, and limitation of liability — shall survive.

16. Severability

If any provision of these Terms is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if that is not possible, severed. The remaining provisions shall continue in full force and effect.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

18. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.
